Agreement Overview** This Enterprise Services Agreement (“Agreement”) governs the provision of AI-powered virtual try-on generation services (“Services”) by HAPPYGLOBAL, LLC (“Company”, “we”, “our”, “us”) to enterprise customers (“Customer”, “you”). This Agreement supplements our **Terms of Service** and applies specifically to enterprise-level engagements. --- ## **2. Enterprise Services Offered** We provide enterprise customers with: * **High-Volume API Access** – increased rate limits and priority queue processing. * **Custom Model Training** – AI models trained on your proprietary datasets. * **White-Label Solutions** – deployment under your brand. * **Dedicated Account Management** – assigned technical and business contact. * **Advanced Analytics** – detailed usage reports and insights. * **Custom Integrations** – tailored integration with your systems. --- ## **3. Service Levels (SLA)** * **Uptime Commitment:** 99.5% monthly uptime. * **Critical Issue Response Time:** within 4 hours. * **High Priority Issue Response:** within 8 hours. * **Medium Priority:** within 24 hours. * **Low Priority:** within 72 hours. --- ## **4. Commercial Terms** ### 4.1 Pricing Enterprise pricing is based on: * Volume tiers and annual commitments. * Model type and processing complexity. * Optional add-on services (e.g., premium support, custom models). ### 4.2 Payment * Invoicing: monthly or annually. * Payment terms: Net 30 days. * Currency: USD unless agreed otherwise. --- ## **5. Data Handling & Security** * **Customer Data Ownership:** You retain ownership of all uploaded and generated content. * **No Model Training:** We will not use your data to train our general AI models unless explicitly agreed. * **Data Retention:** Retention periods will be defined in the Order Form. * **Security Measures:** AES-256 encryption at rest, TLS 1.3 in transit, MFA, role-based access control. --- ## **6. API & Integration Terms** * Dedicated API endpoints available for enterprise traffic. * Webhooks for real-time status updates. * SDKs and technical documentation provided. * Sandbox environment for testing before production deployment. --- ## **7. Compliance** We maintain compliance with: * **GDPR / UK GDPR** * **CCPA** * **BIPA** for biometric data in applicable jurisdictions * Industry-specific regulations upon request (e.g., HIPAA if relevant) --- ## **8. Confidentiality** Both parties agree to protect all confidential information disclosed during the term of this Agreement and not to use it for any purpose other than fulfilling this Agreement. --- ## **9. Term & Termination** * **Initial Term:** As stated in the Order Form (typically 12–36 months). * **Renewal:** Automatic renewal unless terminated with 90 days’ written notice. * **Termination for Cause:** Immediate termination for material breach. * **Termination for Convenience:** By mutual agreement or with agreed penalties. --- ## **10. Governing Law & Dispute Resolution** This Agreement is governed by the laws of the **State of Delaware, USA**, without regard to conflicts of law principles. All disputes will be resolved via binding arbitration under the rules of the American Arbitration Association unless otherwise required by applicable law. --- ## **11.
